Terms of Service
Last Updated: September 7, 2026
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of our Canadian sovereign cloud platform services ("Services"). The Services are sold and provided in Quebec and elsewhere in Canada by Patrii Québec inc., on technology owned and operated by Patrii Cloud inc., running on servers located in Montreal, Quebec, Canada. In these Terms, "Patrii", "we", "us" and "our" refer to both companies. By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our Services.
2. Description of Services
Patrii provides Canadian sovereign cloud infrastructure services including but not limited to:
- Virtual compute instances and containers
- Object and block storage solutions
- Networking and security services
- Database and analytics platforms
- AI/ML services and tools
- API access and integration services
3. Account Registration
3.1 Account Creation
To use our Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You must immediately notify Patrii of any unauthorized use of your account. Patrii will not be liable for any loss or damage arising from unauthorized account access.
4. Acceptable Use Policy
You agree not to use our Services for any unlawful purpose or in violation of our Acceptable Use Policy. Prohibited activities include but are not limited to: Abuse originating from your resources may also result in pass-through fees under section 6.3 and in suspension or termination of your account under section 11.2.
- Illegal activities or content
- Intellectual property infringement
- Distribution of malware or harmful code
- Unauthorized access attempts
- Resource abuse or mining
- Spam or unsolicited communications
5. Data Privacy and Protection
Your use of our Services is subject to our Privacy Policy. We are committed to complying with Canadian privacy laws and are working towards PIPEDA certification. All data is stored exclusively in Canadian data centers.
6. Payment and Billing
6.1 Payment Terms
You agree to pay all fees associated with your use of the Services. All amounts are in Canadian dollars (CAD) unless otherwise specified.
6.2 Automatic Renewal
Services automatically renew unless cancelled. You may cancel at any time through your account dashboard.
To avoid being charged for the next term, you must cancel before the current term ends. Cancellation takes effect at the end of the term in progress.
Once a term has renewed, the fees for that term are due in full. Deleting, shelving, or otherwise releasing your resources during a term you have already been charged for does not cancel the subscription and does not entitle you to a refund or a credit. Fees are not prorated.
Our Services are billed on the quota allocated to your account rather than metered by the hour, so reducing or removing your usage part way through a term does not reduce the amount owed for that term.
6.3 Pass-Through Fees
Our upstream providers and network partners may charge Patrii an abuse handling or administrative fee when an incident originates from your resources, for example a compromised or misconfigured VPS used for spam, port scanning, or attack traffic. Where such a fee is charged to us because of your use of the Services, we will re-bill it to you.
We apply no markup. You pay the exact amount we are charged and nothing more. These fees are currently up to $60 CAD per incident, and the amount is set by the partner rather than by Patrii.
Before invoicing a pass-through fee we will provide the partner's reference or ticket number together with the supporting evidence identifying your resources as the source of the incident. Pass-through fees are payable under section 6.1. Repeated or serious incidents may also lead to suspension or termination of your account under section 11.2.
7. Intellectual Property
7.1 Your Content
You retain all rights to content you upload to our Services. You grant Patrii a limited license to host and serve your content.
7.2 Patrii Property
All Patrii trademarks, service marks, and intellectual property remain the exclusive property of Patrii Cloud inc.
8. Warranties and Disclaimers
Services are provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service. Our Service Level Agreement (SLA) defines specific uptime commitments.
9. Limitation of Liability
To the maximum extent permitted by law, Patrii's total liability shall not exceed the amount paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
10. Indemnification
You agree to indemnify and hold Patrii harmless from any claims arising from your use of the Services or violation of these Terms.
11. Termination
11.1 Termination by You
You may terminate your account at any time. Termination does not relieve you of payment obligations for services used.
11.2 Termination by Patrii
We may suspend or terminate your account for Terms violations with notice when practicable. Repeated abuse incidents, or a single serious incident, may result in termination even where the resulting pass-through fees under section 6.3 have been paid.
12. Governing Law
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada. Any disputes shall be resolved in the courts of Quebec.
13. Changes to Terms
We may modify these Terms with 30 days notice via email or service dashboard. Continued use constitutes acceptance of modified Terms.
